What it includes

  • Preparation of the articles of association matched to the shareholding structure and to the capital plans
  • Support in establishing the company (notarial deed, subscription for shares, payment of the share capital)
  • Filing of the application for registration in the National Court Register (Krajowy Rejestr Sadowy, KRS) and the post-registration filings (tax office, Central Register of Beneficial Owners)
  • Support in setting up the mandatory shareholders' register

What the price does not include

  • Public offering, prospectus and admission of shares to trading (a separate project)
  • Contributions in kind requiring examination and valuation by an expert (a separate cost)
  • Ongoing corporate services after registration (general meetings, supervisory board)

What you receive

  • Application for registration of the joint-stock company filed with the registry court together with the complete set of incorporation documents
  • Articles of association and the full set of incorporation documents, with the shareholders' register set up
How it works

How a joint-stock company is established

A joint-stock company requires share capital of at least PLN 100,000 and the form of a notarial deed. Four stages.

  1. Articles and structure

    We design the articles, the amount of the share capital and the classes and preferences of the shares.

  2. Incorporation before a notary

    The shareholders subscribe for shares and pay up the capital; at least part of it is contributed before registration.

  3. Registration in the KRS

    We file the company with the court together with the complete set of annexes and resolutions.

  4. Shareholders' register

    We set up the mandatory shareholders' register with the chosen operator (a brokerage house or a bank).

Who should use this service

A joint-stock company is chosen where the legal form has to carry larger financing, the entry of institutional investors or, in time, a listing on the public market. It offers wide scope for shaping the rights attached to shares and for raising capital, yet it requires higher share capital and greater formal rigour than a limited company.

What the price covers

We run the matter from the draft articles, through incorporation before a notary and payment of the capital, to the application for entry in the KRS and the setting up of the mandatory shareholders’ register. The price covers a standard incorporation with contributions in cash. Where contributions in kind or a plan to admit shares to trading come into play, we agree the scope and cost of that work separately, because these are distinct and more complex projects.

Price and scope

The price starts at EUR 1700 net for the incorporation of a joint-stock company with a typical structure. Share issues, bespoke articles or a large number of shareholders are priced individually.

What the fee depends on

  • Shareholding structure and classes of shares (preference shares, non-voting shares)
  • Amount of the share capital and the manner in which it is paid up
  • Range of corporate bodies and additional provisions of the articles (supervisory board, restrictions on the transfer of shares)

We agree the fee individually, at an hourly rate or as a flat fee, and confirm it before we start.
