What an investment agreement contains
An investment agreement sets out the number of new shares, the price at which they are acquired and the conditions precedent, that is the conditions on whose fulfilment closing depends. It also governs the voting rights of the new investor, a possible seat on the management board, information rights and the procedure for taking significant decisions. In a seed or Series A round, an investor typically looks to protect the contribution and to influence the direction in which the company develops. Our role is to balance the founders’ interests against the investor’s expectations and to propose solutions that satisfy both sides.
