How it works

How corporate governance standards are implemented

We prepare a complete set of rules and procedures matched to the company's structure and objectives, so that decisions are taken professionally and transparently.

  1. Structure and needs

We examine the company's structure, the number of its bodies, the profiles of the management board members and the expected level of formality.

  2. Rules of procedure

We draft the rules of procedure for the management board and the supervisory board, together with the decision-making procedures the company needs.

  3. Procedures and policies

We define the procedures for managing conflicts of interest, corporate matters and the protection of data.

  4. Implementation and training

We put the procedures into practice, hand over the document templates and set out how the standards are applied day to day.

Who should use this service

Sound management procedures are the foundation of a company’s growth. Whatever its size, a company benefits from clear rules, so that decisions are taken consistently and lawfully. Corporate governance protects shareholders and employees alike, and for companies planning external financing or a transaction it is indispensable.

What professional corporate governance means

Professional governance rests above all on clear procedures. Rules of procedure for the management board set out how decisions are taken, who holds a vote and how resolutions are recorded. Procedures guarding against conflicts of interest give assurance that everyone acts in good faith. A policy on risk management and data protection shows that the company thinks strategically. Such foundations matter in particular when new shareholders or investors come in.

What the fee depends on

  • Size and structure of the company, the number of its bodies and of management board members
  • The need for procedures specific to the company's industry, where applicable
  • Scope of the compliance, data protection and conflict of interest procedures

We agree the fee individually, at an hourly rate or as a flat fee, and confirm it before we start.

What we have done in this area

HWW acted for a joint-stock company whose new management board found payments of salaries, bonuses and compensation made by the previous board, in agreement with related parties, without economic justification: the firm prepared a criminal complaint, on the basis of which the prosecutor's office charged the former board members and the case was referred for further investigation. Each case has its own facts, so this outcome does not predetermine another.
